Terms and Conditions
The terms for using perfectdigitalsolution.com and for the SEO, digital marketing, website, hosting and app development services Perfect Digital Solution provides to businesses in Noida, Delhi NCR and across India.
01
Clear proposals
Scope, timelines, fees and revisions for every project are set out in a written Proposal, which takes priority over these Terms.
02
No guaranteed rankings
We work to improve your results, but no agency can guarantee rankings, traffic or ad performance on Google or other platforms.
03
Indian law applies
These Terms follow Indian law. Fees exclude GST, and disputes are handled by the courts at Gautam Buddh Nagar (Noida).
These Terms and Conditions (“Terms”) apply to your use of https://perfectdigitalsolution.com and to the services provided by Perfect Digital Solution (“PDS”, “we”, “us”, “our”). In these Terms, “you” means the website visitor, or the client who engages us for services, as the context requires.
Please read these Terms carefully. Where a signed proposal, quotation, statement of work or agreement (a “Proposal”) exists between you and PDS, the Proposal will prevail over these Terms if the two conflict.
Acceptance of these Terms
By using our website, you agree to these Terms. By accepting a Proposal, making a payment or asking us to start work, you agree to these Terms for our services. If you do not agree, please do not use the website or our services.
Proposals accepted by email, electronic signature or other electronic means are valid and binding contracts under the Indian Contract Act, 1872 and the Information Technology Act, 2000. If you accept on behalf of a business, you confirm that you are authorised to do so.
Our services
PDS provides digital marketing and web and app development services. These include SEO, local SEO, e-commerce SEO, enterprise SEO, video SEO, email marketing, content marketing, digital marketing, social media optimisation and social media marketing, PPC and Google Ads, online reputation management, website design, website development, website design and development, web hosting, Android app development, iOS app development and graphic design.
Our services are offered mainly to businesses and professionals. The exact services, deliverables, timelines and fees for each client are set out in the Proposal.
Use of our website
You may use our website for lawful purposes only. You must not:
- submit false, misleading or someone else’s information through our forms;
- send spam or unsolicited promotional material through our forms or chat;
- try to gain unauthorised access to the website, its server or any connected system;
- upload or transmit viruses or other harmful code;
- copy, scrape or reproduce website content except as allowed by these Terms.
We try to keep the information on our website accurate and up to date, but it is provided for general information only. We do not promise that the website will always be available or error-free.
Intellectual property
Website content. All content on our website, including text, graphics, logos, design and code, belongs to PDS or is used with permission. You may view and share it for personal, non-commercial reference. You may not copy or republish it for commercial purposes without our written permission.
Client deliverables. Once you have paid all amounts due under the relevant Proposal in full, ownership of the final deliverables created specifically for you, such as website designs, graphics, content and app code, transfers to you, unless the Proposal says otherwise. Until full payment, PDS retains ownership.
What does not transfer. Ownership does not transfer for third-party items, such as themes, plugins, fonts, stock images, software libraries and platform tools. These remain subject to their own licences, which you must follow. PDS also keeps ownership of its pre-existing tools, templates, methods and know-how, and grants you a licence to use any that form part of your deliverables.
Portfolio. We may show work we have done for you, including your name and logo, in our portfolio, case studies and marketing material. If you do not want this, tell us in writing and we will not do so, or will remove it within a reasonable time.
Quotes, proposals and scope
Quotes and Proposals are valid for the period stated in them, or for 30 days if no period is stated. They are based on the information you give us.
Work outside the agreed scope, or changes after work has started, may need a revised quote, extra fees and a new timeline. We will tell you before carrying out any chargeable extra work.
Timelines are estimates. They depend on you supplying content, feedback, approvals and access on time. Delays on your side may move the timeline.
Revisions
The number of revision rounds included in a project is set out in the Proposal. Further revisions, or changes to an already-approved stage, may be charged separately.
Payments, GST and taxes
You agree to pay our fees as set out in the Proposal and our invoices. Unless stated otherwise, advance payment may be required before work begins, and recurring services, such as monthly SEO, social media or hosting, are billed in advance for each period.
All fees are exclusive of Goods and Services Tax (GST) and other applicable taxes, which will be added to the invoice at the applicable rate. Our GSTIN is 09GGUPS5553J1ZA. If you deduct tax at source, please provide the relevant TDS certificate promptly.
Late payment. If an invoice is not paid by its due date, we may pause or suspend work, hosting or other services until payment is received. We may also charge interest on overdue amounts if this is agreed in the Proposal. We are not responsible for any loss caused by a suspension due to non-payment.
Ad spend and third-party costs
Our fees for PPC, Google Ads and social media advertising are for our management services only. Advertising budgets (ad spend) are paid by you directly to the platform, such as Google or Meta, unless the Proposal says otherwise.
Third-party costs, such as domain names, hosting plans, premium themes or plugins, stock images, software subscriptions and app store developer accounts, are separate from our fees unless the Proposal includes them.
Your responsibilities
As a client, you agree to:
- give us accurate, complete and timely information, content, feedback and approvals;
- make sure you own, or have permission to use, all content, images, logos, trademarks and data you give us, and that it does not break any law or infringe anyone’s rights;
- give us the access we need to your accounts, such as Google Ads, Google Analytics, Search Console, social media, hosting and CMS, and keep your own account credentials safe;
- make sure that your business, products, advertising claims and use of customer data follow applicable laws, including data protection and consumer laws;
- review and approve deliverables within a reasonable time.
You remain the owner of your accounts. We recommend that you give us user-level or manager-level access rather than sharing your main login, and that you remove our access when an engagement ends.
Where we handle personal data on your behalf, you are the Data Fiduciary and PDS is the Data Processor. We will process that data only on your instructions and to deliver the services, as described in our Privacy Policy.
Third-party platforms
Many of our services depend on third-party platforms, including Google (Search, Ads, Analytics, Business Profile and YouTube), Meta (Facebook, Instagram and WhatsApp), other social media sites, the Google Play Store, the Apple App Store, hosting providers and domain registrars.
These platforms have their own terms and policies, which you must follow, and which they may change at any time. We have no control over their decisions, algorithms, approvals, outages, account suspensions or policy changes, and we are not responsible for them.
No guaranteed results
We use our skill and experience to improve your online visibility and performance, but results depend on many factors outside our control, such as search engine algorithms, competition, your website, your budget and market conditions.
We therefore do not guarantee any specific search ranking, traffic, leads, sales, followers, ad performance or return on investment. As Google itself says in its Search Central guidance, “No one can guarantee a #1 ranking on Google.” Any estimate or forecast we share is an estimate only.
For online reputation management, we cannot guarantee the removal of any review, post or content published by others, as that is decided by the relevant platform or publisher.
Website hosting and domains
Where we provide or manage hosting or domains for you:
- hosting and domain fees must be paid before the renewal date. We are not responsible if a service or domain expires because a renewal was not paid in time;
- where possible, domains are registered in your name or your business’s name;
- we take backups on a best-effort basis, but we do not guarantee that backups will always be available or complete. You should keep your own copies of important content and data;
- hosting uptime depends on the hosting provider, and we are not liable for outages, data loss or security incidents caused by the provider or by events outside our control;
- we may suspend hosting that is used for unlawful content, spam or activity that harms the server or other users.
App development and app store approval
We build Android and iOS apps to the agreed scope and to the published guidelines of the Google Play Store and Apple App Store. However, approval, listing and continued availability of an app are decided only by Google and Apple. We cannot guarantee that an app will be approved or will stay published. Fixing issues raised during review that fall outside the agreed scope may be charged separately.
Cancellation and termination
Either party may end an engagement by giving the notice period set out in the Proposal. If no notice period is stated, either party may end it by giving 30 days’ written notice.
We may suspend or end services immediately if you seriously breach these Terms, do not pay amounts due, or ask us to do something unlawful or unethical.
On termination, you must pay for all work done and costs incurred up to the termination date. Once all amounts are paid, we will hand over completed deliverables and help you transfer access to your accounts within a reasonable time.
Refunds
Refunds, if any, are handled as set out in the signed Proposal. Fees for work already carried out or delivered, time already spent, and third-party costs already paid on your behalf (such as ad spend, domains, hosting and licences) are not refundable.
Confidentiality
Each party will keep the other’s confidential information private and use it only for the engagement. This includes business plans, pricing, account credentials, customer data and unpublished work. This duty does not apply to information that is already public, was lawfully received from someone else, or must be disclosed by law. It continues after the engagement ends.
Limitation of liability
To the extent permitted by law:
- PDS is not liable for any indirect, incidental or consequential loss, including loss of profit, revenue, business, data or goodwill;
- PDS is not liable for losses caused by third-party platforms, hosting providers, your own actions or content, or events beyond our reasonable control, such as natural disasters, network failures or government action;
- our total liability for any claim relating to our services is limited to the fees you paid to PDS for the specific service giving rise to the claim in the three months before the claim arose.
Nothing in these Terms limits liability that cannot be limited under Indian law.
Indemnity
You agree to indemnify PDS against any claims, losses, damages and reasonable legal costs arising from content or materials you supply, your breach of these Terms, your breach of any law, or claims that your products, advertising or use of personal data infringe the rights of others.
Links to other websites
Our website may contain links to other websites and platforms. We do not control them and are not responsible for their content, policies or practices.
Governing law and jurisdiction
These Terms and any Proposal are governed by the laws of India. Both parties will first try to settle any dispute through good-faith discussion. If a dispute cannot be resolved this way, the courts at Gautam Buddh Nagar (Noida), Uttar Pradesh, will have exclusive jurisdiction.
General
If any part of these Terms is found to be invalid, the rest will remain in force. If we do not enforce a right immediately, we do not give it up. You may not transfer your rights under these Terms without our written consent.
Changes to these Terms
We may update these Terms from time to time. The latest version will always be on this page with the “Last updated” date. Changes do not affect a signed Proposal for its current term unless both parties agree in writing.
